Conditions for acceptance
An application for registration of a foreign-invested partnership company shall be eligible if all of the following conditions are met:
1. The company shall be established by two or more foreign enterprises or individuals on the Chinese mainland, or by at least one foreign enterprise or individual with a Chinese natural person, legal representative or other organization. If a partner is a natural person, they must possess full civil capacity.
2. A written partnership agreement must be in place.
3. Partners must have subscribed or actually contributed capital.
4. The partnership must have a registered name and a physical business premises.
5. A limited partnership shall be established by 2 to 50 partners, unless otherwise stipulated by law. It must include at least one general partner.
6. Special general partnerships shall be established by professional service institutions that provide paid services requiring specialized knowledge or skills.
