Conditions for acceptance
A foreign-invested joint stock limited company may make a filing when all of the following conditions are met:
1. There is an alteration in the company’s registration items;
2. Where the filing of the company’s items must be reported for approval in accordance with the law, administrative regulations and decisions of the State Council, and has been approved by the relevant licensing authorities;
3. If the company’s filing item involves the implementation of Special Administrative Measures for Foreign Investment Access (Negative List) or foreign-funded mergers and acquisitions (M&A), approval from the relevant approval authority is required;
4. A resolution or decision has been made by the foreign-invested joint stock limited company in accordance with the law.
