Conditions for acceptance
A foreign-invested limited liability company may make a filing if all of the following conditions are met:
1. There is an alteration in the company’s registration items;
2. Where the filing of the company’s items is required to be submitted for approval under applicable laws, administrative regulations, or decisions of the State Council, and such filing has been duly approved by the relevant licensing authorities, the company shall provide the approval documents to the company registration authority for recordation；
3. If the company’s filing item involves the implementation of Special Administrative Measures for Foreign Investment Access (Negative List) or foreign-funded mergers and acquisitions (M&A), approval from the relevant authority is required;
4. A resolution or decision has been made by the foreign-invested limited liability company in accordance with the laws.
